Primary Responsibilities: • Handle formations of new entities, including corporations, limited liability companies, partnerships, and non-profits. • Draft basic ancillary organization documents, including operating agreements, by laws, stock purchase agreements with compiled schedules, stock certificates and ledgers, and assignments of assets.
• Complete and file Form SS-4s or use of the IRS web portal to obtain EINs. • Track and file annual reports and statements of information for all client entities as well and accompanying minutes, resolutions, and consents.
